Welcome to Yoga Zen It (accessible via our mobile application and website at https://yogazenit.com). This Terms of Service & Consumer Agreement (“Agreement”) is a legally binding contract between you (“User,” “Student,” “Instructor,” or “Studio Owner”) and YOGA ZEN IT LLC (“Yoga Zen It,” “we,” “us,” or “our”).
By registering an account, purchasing or booking a class, drop-in, workshop, retreat, or teacher training program, or accessing any service on our platform (collectively, the “Platform”), you agree to be bound by this Agreement. If you do not agree, do not access or use the Platform.
1. Platform Overview & Scope
1.1 Marketplace Role: Yoga Zen It provides a multi-tenant software application and online marketplace that enables independent yoga instructors and yoga studios (“Host Partners”) to create, list, manage, and sell yoga classes, drop-ins, workshops, retreats, and teacher training programs (“Events”) to students and clients (“Students”).
1.2 Independent Providers: Host Partners are independent contractors and entities, not employees, agents, or joint-venturers of YOGA ZEN IT LLC. Yoga Zen It facilitates scheduling, communication, and payment processing, but does not own, operate, host, or direct the physical instruction, venue operations, or safety procedures of Host Partner Events.
2. Account Registration & Security
2.1 Eligibility: You must be at least 18 years old (or the legal age of majority in your jurisdiction) to create an account or make purchases on the Platform. Minors under 18 may only participate under the direct supervision and consent of a parent or legal guardian.
2.2 Account Accuracy: You agree to provide accurate, current, and complete information during registration and maintain updated profile details. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
3. Bookings, Payments & Platform Fees
3.1 Payment Processing via Stripe: All financial transactions on the Platform—including student purchases and Host Partner payouts—are processed securely through our payment partner, Stripe, Inc. By making a purchase or setting up a payout account, you agree to comply with the Stripe Services Agreement and Stripe Connected Account Agreement.
3.2 Pricing & Currency: Prices for single drop-in classes, class packs, workshops, retreats, and teacher trainings are established by the respective Host Partner or Yoga Zen It and displayed on the Platform in US Dollars ($USD) prior to purchase.
3.3 Platform Fees: Yoga Zen It charges service and marketplace processing fees on completed bookings to cover platform maintenance, software operations, and payment gateway costs. All applicable taxes and platform fees are itemized at checkout prior to payment authorization.
4. Cancellation, Refund & Booking Policies
4.1 Drop-in Classes & Class Packs: Cancellation windows and refund eligibility for drop-in classes or class passes are governed by the specific host studio or instructor policy displayed on the event detail screen prior to purchase.
4.2 Workshops, Retreats & Teacher Trainings: Due to advance venue reservations, travel expenses, and limited capacity, bookings for special events, workshops, retreats, and teacher training programs may carry strict non-refundable deposit terms or specialized cancellation schedules set by the Host Partner.
4.3 Platform-Initiated Cancellations: If an Event is canceled entirely by the instructor, studio, or Yoga Zen It (e.g., due to instructor illness, severe weather, or failure to meet minimum registration counts), Students will receive a full refund or platform credit processed back to the original payment method via Stripe.
5. Instructor & Studio Host Terms
5.1 Stripe Connect Onboarding: Host Partners offering paid events must complete financial identity verification (KYC) and maintain an active Stripe Connect account to receive payouts.
5.2 Tax Responsibilities: Host Partners are solely responsible for calculating, collecting, reporting, and remitting all applicable local, state, and federal taxes (including sales tax or income tax) resulting from their earnings on the Platform.
5.3 Independent Contractor Status: Nothing in this Agreement creates an employment relationship between YOGA ZEN IT LLC and any instructor or studio. Host Partners maintain full discretion over their schedules, teaching methods, class content, and physical locations.
6. Health & Physical Activity Disclaimer
6.1 Assumption of Risk: Yoga, meditation, physical exercise, workshops, and retreats involve inherent physical risks, including but not limited to bodily injury, muscle strain, or aggravation of pre-existing medical conditions. You voluntarily assume all risks associated with your participation in any Event booked through the Platform.
6.2 Medical Clearance: You are strongly advised to consult a physician prior to participating in any physical exercise program. You acknowledge that Yoga Zen It does not provide medical advice or evaluate your physical fitness.
6.3 Liability Waiver: All Students must review and agree to our separate Physical Activity & Health Release Liability Waiver prior to booking or participating in any Event.
7. Intellectual Property & Acceptable Use
7.1 Platform Rights: The Platform, logos, trademarks, software code, UI design, and features are owned exclusively by YOGA ZEN IT LLC and protected under copyright, trademark, and intellectual property laws.
7.2 Prohibited Activities: You agree not to:
Reverse engineer, decompile, or copy any portion of the Platform software.
Use automated bots, scrapers, or tools to harvest platform data.
Post false, misleading, defamatory, offensive, or fraudulent content.
Circumvent or attempt to bypass platform payment systems to conduct offline transactions outside of Stripe.
8. Limitation of Liability & Indemnification
8.1 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YOGA ZEN IT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR PARTICIPATION IN ANY EVENT.
8.2 Maximum Aggregate Liability: IN NO EVENT SHALL YOGA ZEN IT LLC’S TOTAL AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU TO YOGA ZEN IT LLC IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR $100.00 USD, WHICHEVER IS GREATER.
8.3 Indemnification: You agree to defend, indemnify, and hold harmless YOGA ZEN IT LLC and its officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your violation of this Agreement, misuse of the Platform, or participation in any Host Partner Event.
9. Modifications to Terms & Termination
9.1 Updates: We reserve the right to modify this Agreement at any time. When updates occur, we will update the “Last Updated” date at the top of this document. Continued use of the Platform after changes are published constitutes acceptance of the updated terms.
9.2 Termination: We reserve the right to suspend or terminate your account or access to the Platform at our sole discretion, without notice, for conduct that violates this Agreement or hurts platform safety or operations.
10. Governing Law & Dispute Resolution
10.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, USA, without regard to its conflict of law principles.
10.2 Arbitration & Venue: Any dispute, claim, or controversy arising out of or relating to this Agreement or the Platform shall be resolved through binding individual arbitration in Monmouth County, New Jersey, and you waive any right to participate in class-action lawsuits or class-wide arbitrations.
