This Instructor & Studio Partner Agreement (“Agreement”) is a legal agreement between YOGA ZEN IT LLC (“Yoga Zen It,” “Platform,” “we,” “us,” or “our”) and you, as an independent yoga instructor, fitness teacher, studio owner, or event organizer (“Host Partner,” “Instructor,” “Studio,” or “you”).
By registering as an instructor or studio on the Yoga Zen It platform, setting up a Stripe Connect payout account, or listing any class, drop-in session, workshop, retreat, or teacher training program (collectively, “Events”) on our mobile application or website (the “Platform”), you agree to be bound by this Agreement.
1. Platform Purpose & Relationship of Parties
1.1 Marketplace Facilitator: Yoga Zen It provides a software application and marketplace technology platform connecting independent instructors and studios with prospective students (“Students”). Yoga Zen It is solely a software technology marketplace and is not an employer, fitness facility, or educational institution.
1.2 Independent Contractor Status: Host Partners are independent contractors and independent business entities. Nothing in this Agreement creates an employment, partnership, joint venture, agency, or franchise relationship between YOGA ZEN IT LLC and any Host Partner.
1.3 Host Autonomy: As a Host Partner, you maintain full discretion over your class curricula, teaching methods, schedule, venue selection, pricing, physical instruction, and safety practices. You are not subject to the direction, supervision, or operational control of Yoga Zen It regarding your physical teaching.
2. Payouts, Stripe Connect & Marketplace Fees
2.1 Stripe Connect Account Required: To list paid Events and receive Student payouts, you must set up and maintain an active connected account via Stripe Connect. Payout distributions are processed directly to your bank account via Stripe in accordance with the Stripe Connected Account Agreement.
2.2 Platform Service Fees: Yoga Zen It charges a platform marketplace fee on each completed booking or transaction processed through the Platform. Applicable platform fees and transaction processing costs are automatically deducted from the gross transaction amount before net payouts are distributed to your Stripe account.
2.3 Pricing & Event Setup: You are responsible for setting accurate prices, descriptions, capacity limits, schedules, and location details for your drop-in classes, workshops, retreats, and teacher training programs.
2.4 Taxes: As an independent business entity, you are solely responsible for calculating, collecting, reporting, and remitting all applicable federal, state, and local taxes (including sales taxes, service taxes, and income taxes) resulting from earnings generated through the Platform. Yoga Zen It will issue tax reporting documents (such as IRS Form 1099-K) as required by federal and state regulations.
3. Event Cancellations, Refunds & Student Disputes
3.1 Instructor-Initiated Cancellations: If you must cancel a scheduled class, workshop, retreat, or teacher training program, you agree to submit the cancellation through the Platform as far in advance as possible. In the event of a Host-initiated cancellation, all affected Students will receive a full refund or credit, and applicable platform processing fees may still apply.
3.2 Host Cancellation Policies: You must clearly specify your student cancellation and refund terms (e.g., non-refundable deposit terms for retreats or teacher trainings) within the Event details on the Platform prior to accepting bookings.
3.3 Dispute Resolution with Students: You agree to handle Student complaints, attendance disputes, and refund requests professionally. Yoga Zen It reserves the right to intervene, mediate, or issue refunds on your behalf via Stripe if a Student demonstrates that an Event was misleading, canceled, or not delivered as described.
4. Host Representations, Safety & Insurance
4.1 Qualifications & Credentials: You represent and warrant that you hold all necessary certifications, qualifications, training, licenses, and permits required to teach yoga, lead physical exercise, or operate your studio facility in your jurisdiction.
4.2 Insurance Requirement: Host Partners are strongly encouraged and expected to maintain general liability and professional liability (malpractice) insurance coverage covering physical exercise instruction, venue liability, and personal injury claims.
4.3 Safety & Facility Standards: You are solely responsible for ensuring that physical facilities, studios, retreat venues, and equipment used during your Events are clean, safe, compliant with local building and health codes, and free from hazardous conditions.
4.4 Host Liability Release: You acknowledge that Yoga Zen It does not supervise or inspect your physical teaching facilities or classes. You agree that YOGA ZEN IT LLC carries no liability for injuries, loss, or property damage sustained by Students or third parties during your Events.
5. Content, Intellectual Property & Listings
5.1 Host Content License: By uploading text, images, logos, studio photos, promotional videos, or event descriptions (“Host Content”) to the Platform, you grant Yoga Zen It a non-exclusive, worldwide, royalty-free license to display, market, and distribute your Host Content solely for operating and promoting your Events and the Platform.
5.2 Platform Intellectual Property: The Yoga Zen It software, mobile applications, database architecture, brand assets, and platform design are the exclusive property of YOGA ZEN IT LLC. You agree not to copy, decompile, or attempt to extract source code from the Platform.
5.3 Off-Platform Payment Circumvention: You agree not to solicit Students discovered through the Platform to make payment for listed Events outside of the Yoga Zen It platform or Stripe processing system to bypass platform service fees.
6. Indemnification & Limitation of Liability
6.1 Indemnification: You agree to defend, indemnify, and hold harmless YOGA ZEN IT LLC, its officers, directors, employees, agents, and affiliates from and against any claims, losses, damages, liabilities, costs, and legal fees arising out of or related to:
Your physical instruction, class execution, or conduct during any Event.
Any personal injury, property damage, or wrongful death occurring at your studio or event location.
Your breach of this Agreement, non-payment of taxes, or misrepresentation of credentials.
Your violation of third-party rights, including intellectual property or privacy rights.
6.2 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOGA ZEN IT LLC SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, OR INCIDENTAL DAMAGES, OR LOST PROFITS, ARISING OUT OF OR IN CONNECTION WITH PLATFORM DOWNTIME, STRIPE PAYOUT DELAYS, OR THIS AGREEMENT.
7. Term, Termination & Account Suspension
7.1 Term: This Agreement takes effect when you register an instructor or studio account on the Platform and remains in effect until terminated by either party.
7.2 Termination by You: You may terminate this Agreement at any time by closing your instructor account and completing all pending, pre-booked Events.
7.3 Termination or Suspension by Platform: Yoga Zen It reserves the right to suspend or terminate your account, remove Event listings, or freeze payout distribution integrations immediately if:
You violate any provision of this Agreement or our Terms of Service.
You receive repeated Student complaints regarding safety, non-attendance, or fraudulent event listings.
Your connected Stripe account is suspended, terminated, or flagged for fraudulent activity.
8. Governing Law & Dispute Resolution
8.1 Governing Law: This Agreement shall be governed by and construed under the laws of the State of New Jersey, USA, without regard to conflict of law principles.
8.2 Arbitration: Any legal dispute or claim arising out of or relating to this Agreement or your use of the Platform as a Host Partner shall be settled through binding individual arbitration in Monmouth County, New Jersey.
